These terms are an agreement between you and Danalytics Technologies LLC, an Oregon limited liability company ("we", "us"), covering the U-Do web application at u-do.build (the "Service").

Part A applies to everyone. Part B applies while we onboard customers by invitation, which is how the Service operates today; where Part B conflicts with Part A, Part B controls.

A1. The Service

U-Do is a platform for authoring digital work instructions, assigning and recording training, and capturing what happens when a procedure is carried out. We provide it as a hosted web application; there is nothing to install.

U-Do helps you produce and keep records. It does not certify that your procedures, your training programme, or your records satisfy any standard, regulation or audit. Whether what you produce meets ISO 9001, an FDA requirement, an OSHA obligation or a customer's specification is your determination to make, and nothing in the Service is legal or regulatory advice.

A2. Accounts and access

An organisation's administrator sets what each member may do and can remove a member's access. During early access, new accounts are created by us at an administrator's request rather than through a signup form. Removing a member ends their access; the work they recorded remains part of the organisation's history. If your account was set up by your employer, your employer controls it.

You are responsible for keeping your credentials confidential and for activity under your account. Tell us promptly at support@u-do.build if you believe an account has been compromised.

A3. Acceptable use

Do not use the Service to break the law, infringe someone's rights, upload malware, attack or probe the Service or its infrastructure, attempt to reach another organisation's data, or resell access to a third party without our agreement.

Do not upload content you have no right to upload. Because U-Do stores photographs and signatures of people at work, you are responsible for having whatever notice or permission your jurisdiction and your workforce agreements require.

A4. Your content stays yours

Your procedures, media, execution records and training data are yours. We claim no ownership of them.

You grant us only the permission we need to run the Service for you: to store your content, display it back to the people you authorise, process it as the features you use require, and back it up. That permission exists so the Service can function and for no other purpose. We do not sell your content and we do not use it to train any model of ours.

A5. AI features

Some features send your content to Anthropic's Claude API: when someone submits a suggested improvement to a step, and when a written quiz answer is graded. The suggestion path runs automatically on submission rather than on request, and an administrator can switch suggestions off for the whole organisation. The Privacy Policy sets out exactly what is transmitted.

Anthropic's Commercial Terms of Service, which govern our use of that API, provide that Anthropic may not train models on customer inputs or outputs. We rely on that term; we did not negotiate it. Anthropic deletes API inputs and outputs within 30 days, except for content flagged by its trust-and-safety systems or retained as the law requires. We do not hold a zero-retention agreement.

AI output is a suggestion, not an approval. You decide what goes into a published procedure, and the review and approval of work instructions remains yours. Do not treat generated text as verified against any standard.

A6. Availability and support

We do not offer a service-level agreement and we do not commit to an uptime percentage or a guaranteed response time. Stating that plainly is more useful to you than a number we have not built the capacity to honour.

In practice: support is by email at support@u-do.build, answered by a person, usually the same day on business days. The Service may be unavailable during maintenance or because of a failure at one of the providers listed in the Privacy Policy. If your operation cannot tolerate a period without access to a procedure, keep an offline copy of the procedures you depend on.

A7. Fees

Fees, if any, are those set out in the written order, quote or early-access agreement between us. Prices shown on our website are indicative and are not themselves an offer; nothing is charged to you without a written agreement you have entered into.

Where we have agreed a paid plan, fees are payable as that agreement states, and we will give at least 30 days' notice before a price change takes effect for you.

A8. Disclaimer of warranties

Except as expressly stated in a written agreement with you, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet any regulatory or certification requirement applicable to you.

A9. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, goodwill or anticipated savings, arising out of or relating to these terms or the Service, even if advised of the possibility.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to these terms or the Service will not exceed the greater of the amounts you paid us for the Service in the twelve months preceding the event giving rise to the claim, or one hundred United States dollars.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including for fraud or for death or personal injury caused by negligence.

A10. Termination, export and deletion

You may stop using the Service at any time. We may suspend or end access for a serious or repeated breach of these terms, or where we are required to by law; except where the breach makes notice inappropriate, we will tell you first and give you a chance to put it right.

You can export execution records, form submissions and procedure analytics as CSV from inside the Service, and save or print an execution report. There is no one-click export of an entire organisation, and no self-service account deletion. If your access ends and you want a full copy of your organisation's data, or want it deleted, write to support@u-do.build and we will handle it by hand — we say that plainly rather than describe an automated process that does not exist.

A11. Assignment

You may not assign or transfer these terms without our written consent. We may assign them, in whole or in part, to an affiliate or to a successor in connection with a merger, acquisition, reorganisation or sale of all or substantially all of our assets or of the business to which they relate. These terms bind and benefit each party's permitted successors and assigns.

A12. Governing law and venue

These terms are governed by the laws of the State of Oregon, without regard to its conflict-of-laws rules. The state and federal courts located in Oregon have exclusive jurisdiction over any dispute arising out of or relating to them, and each party consents to that jurisdiction and venue.

A13. Changes to these terms

This document is version-controlled. A substantive change increments the version, sets a new effective date, and is recorded in the revision history below. Where we have a written agreement with you, we will notify you of a material change; continuing to use the Service after a change takes effect means you accept the current version.

B1. Early-access and pilot addendum

This Part B applies while U-Do is provided by invitation. It reflects how the Service actually operates today and it is written into this document rather than applied automatically, so that the terms in force on any given date can be established from this page and its version history.

  • Onboarding is by invitation. There is no self-serve signup; workspaces are provisioned by us after a conversation, and the scope of your pilot is what that early-access agreement records.
  • The Service is pre-general-availability. Features may change, be added, or be withdrawn, and you should expect rough edges. Do not adopt it as the sole record for a process where losing the record would be unacceptable, without keeping your own copy.
  • Support is direct. You have a named contact — in practice, the founder — reachable at support@u-do.build.
  • Your data at pilot end. If a pilot ends without continuing, tell us what you want done with your organisation's data and we will export it to you, delete it, or both. We will not delete a pilot organisation's data without being asked, and we will not retain it as a lever to continue.
  • Fees during early access are whatever your early-access agreement says, including nothing.

When self-serve onboarding opens, this Part B is revised or withdrawn as a new version of this document, with the change recorded below. It will not simply stop applying without a version change.
